1. General Provisions
1.1. This document (hereinafter referred to as the “Agreement”) is a public offer of Ukulele Limited Liability Company (hereinafter referred to as the “Rightholder”) addressed to users of a web resource on the Internet https://ukulelefilms.com/ (hereinafter referred to as the “Website”) .
1.2. The Website User accepts an offer at the moment when the “Pay” button on the Rightholder’s Website is clicked. Acceptance of the offer is complete and unconditional and means the acceptance by the user of the Site of the Rightholder’s offer to conclude a Contract.
Any person who made an offer acceptance, in the understanding of this Agreement becomes the “Customer”. The rightholder and the Customer when referred to together are referred to as the “Parties”.
1.3. By accepting the Agreement in the manner specified in clause 1.2 of the Agreement, the user of the Site confirms that he is acquainted, agrees, fully and unconditionally accepts all the terms of the Agreement as they are set forth in the text of the Agreement, including in the annexes to the Agreement its integral part.
1.4. The contract cannot be revoked.
1.5. The contract does not require stapling and / or signing by the Customer and the Rightholder (hereinafter referred to as the Parties) and retains legal force.
2.1. The subject of this Agreement is the entitlement by the Rightholder of the right to publicly display a film (Public Performance Rights License) in accordance with the terms of this Agreement.
The Rightholder hereby grants the right to include the film in its public library for the provision of access to authorized users for educational, research and other non-commercial purposes. The rights contained herein are not transferable. Sublicensing, sublease, duplication, digitization, sale or any other action not expressly permitted in this Agreement is prohibited. Charging for the film is prohibited.
2.2. The Customer fully accepts the terms of the Agreement and pays for the services of the Rightholder in accordance with the terms of this Agreement.
3.1. The cost of services under the Agreement is determined in accordance with current prices and is listed on the site https://ukulelefilms.com/
3.2. The cost of the service may be changed unilaterally by the Rightholder.
3.3. Payment methods for services are indicated at checkout.
4.1. Text information, graphics and other content published on the Website is the property of the Rightholder.
5.1. The Rightholder is responsible for the quality and timeliness of the services provided when the Customer fulfills the established requirements and rules posted on the Site.
5.3. The Rightholder is not responsible for the quality of public communication channels or services that provide the Customer with access to its services.
5.2. The Parties are exempt from liability for violation of the terms of the Agreement if such violation is caused by the action of force majeure, including: actions of state authorities, fire, flood, earthquake, other natural acts, lack of electricity, strikes, civil unrest, riots, any other circumstances, not limited to those listed above, which may affect the fulfillment by the Parties of the terms of the Agreement.
6.1. The Rightholder undertakes not to disclose information received from the Customer.
6.2. It is not considered a violation of disclosure obligations in accordance with reasonable and applicable requirements of the law.
6.3. The right holder receives information about the IP addresses of users of the Site. This information is not used to identify users.
6.4. The Rightholder is not responsible for information provided by the Customer on the Site in a generally accessible form.
7.1. Customer claims for the services provided are accepted by the Rights Holder for consideration by e-mail within 2 business days from the moment the dispute arises.
7.2. When considering disputable situations, the Rightholder has the right to request from the Customer all the relevant documentation regarding the service in question.
In case of non-submission of documents by the Customer within 1 working day after the day of the claim, the claim is not subject to consideration by the Rights Holder.
7.3. The Rightholder and the Customer, taking into account the nature of the service provided, undertake, in the event of disputes and disagreements related to the provision of services, to apply the pretrial dispute resolution procedure. In the event of the impossibility of settling the dispute in the pretrial order, the parties are entitled to go to court.
8.1. The customer has all the rights and powers necessary for the conclusion and execution of the Agreement.
8.2. The customer has the right at any time to unilaterally refuse the services of the Rightholder.
8.3. The Rightholder reserves the right to change or supplement any of the terms of this Agreement at any time by posting all changes on the Site.
8.4. For all matters not regulated by this Agreement, the Parties are guided by the current legislation of the Russian Federation.
8.5. The recognition by the court of the invalidity of any provision of this Agreement does not entail the invalidity of the remaining provisions.
